Terms of Service

By creating an account or using Proofly, you agree to these Terms of Service and acknowledge our Privacy Policy. If you do not agree, do not use the service.

You must be at least 18 and able to enter into a binding agreement. If you act for a business, you must be authorized to bind that business. “Proofly,” “we,” and “us” refer to the operator of the Proofly service.

Provide accurate account and company information, protect your credentials, and use only accounts you are authorized to access. Businesses are responsible for their workspace members and permissions. Notify Proofly through your existing contact if you suspect unauthorized access. Free signup does not include a promise of unlimited use, free payouts, or availability of every integration.

Businesses must have permission or another lawful basis to provide customer and prospect information and send invitations. Do not upload purchased contact lists, send unlawful unsolicited communications, or enroll someone in SMS requests without their explicit consent.

Businesses are responsible for accurate request details, offered compensation, meeting links, completion requirements, and conversion reporting. A request must not require a reference to make false statements or conceal a paid relationship. Businesses must honor accepted offers, subject to legitimate disputes and applicable law.

References choose whether to accept or decline a request. Participation does not establish employment, agency, or a partnership with Proofly. You are responsible for any employer approvals, confidentiality duties, and restrictions that apply to your participation.

Share honest opinions based on your actual experience. Disclose your paid relationship or offered incentive to prospects where required by advertising, endorsement, or other applicable law. Do not share trade secrets, third-party personal information, or recordings without authorization.

Accepted requests must be completed as agreed. Submit genuine completion evidence; fabricated proof, collusion, or false customer-conversion reports may result in restrictions, investigation, or reversal where lawful.

Each business sets its request payout and customer-conversion bonus. The amounts displayed for the specific request govern that offer; later changes to workspace defaults do not change an already-issued offer.

Proofly deducts one combined fee from each configured gross payout: a 15% platform fee, a 3.5% transaction fee, and a $0.50 processing fee. For example, a $50.00 gross payout has a $9.75 combined fee and a $40.25 net reference payout. The same calculation applies separately to a conversion bonus. Amounts are calculated in cents; the displayed request identifies the applicable currency and net amount.

A base payout is triggered by submission of completion proof, subject to legitimate fraud or compliance holds and available funding. Businesses may review proof for audit and verification. A conversion bonus is triggered when the business marks the prospect as having become a customer; merely accepting or completing a request does not earn that bonus.

Live payments require an enabled and approved Stripe Connect setup, identity verification, available funds, and an eligible payout destination. Bank-account or debit-card availability depends on Stripe and your location. An “instant” payout is not a guarantee: eligibility, timing, limits, holds, and provider processing may affect delivery. A pending ledger entry is not confirmation that money has been paid.

When live funding is enabled, businesses may use supported charge-per-payout or prepaid-balance options. Selecting a funding preference alone does not charge a payment method or fund a balance. Businesses must maintain adequate funding for their obligations.

Payment failures, refunds, disputes, and unauthorized transactions are subject to the applicable payment-provider rules and law. Contact the requesting business promptly about request-specific disputes and Proofly through your existing contact for service or payment-record issues. Do not assume a payment can be reversed after it has been delivered.

You are responsible for applicable taxes, reporting, and providing accurate verification information. Proofly does not provide tax advice. Additional payment-provider terms may apply when you onboard or authorize a transaction.

Connecting Google or another service is optional and requires authorization for the permissions shown. Saving a reply-email preference is not an inbox connection. You can revoke Google access through your Google Account. Third-party services are governed by their own terms, and their availability may affect Proofly features.

SMS participation requires separate explicit consent and may be withdrawn. Consent is not a condition of purchasing goods or services. Message frequency varies; message/data rates may apply. Where supported, reply STOP to opt out or HELP for assistance. Email and SMS delivery are not guaranteed; a generated invitation link or pending delivery record does not mean a message was delivered.

You retain your rights in content you provide and grant Proofly a limited license to host, process, and display it as necessary to operate the service and fulfill your requests. You must have the rights needed to provide that content.

Do not use Proofly for fraud, harassment, unlawful discrimination, spam, impersonation, privacy violations, malicious files, unauthorized access, or attempts to bypass access controls. Do not interfere with the service or misuse another person’s credentials. Proofly’s software, branding, and other service materials remain the property of their respective owners.

Simulator requests, notifications, balances, and payouts are demonstrations, not actual transfers or delivered communications. Live email, SMS, funding, and payouts are available only when their required setup and approvals are complete. We may change features or temporarily interrupt access for maintenance, security, or provider issues; no particular sales result, reference availability, or conversion is guaranteed.

You may stop using Proofly at any time and request account deletion through your existing Proofly contact or account support channel, where available. We may restrict or suspend access for violations, security risks, fraud, legal requirements, or payment issues. Ending access does not erase valid outstanding obligations or records that must be retained by law. Where appropriate, we will provide notice and an opportunity to resolve the issue.

To the extent permitted by law, the service is provided “as is” and “as available,” without warranties of uninterrupted operation, fitness for a particular purpose, or guaranteed results. Businesses and references are responsible for their statements, conduct, and agreements with each other. Proofly does not guarantee a business’s product claims or a reference’s statements.

To the extent permitted by law, Proofly is not liable for indirect, incidental, special, or consequential losses arising from use of the service. Nothing in these terms excludes liability that cannot legally be excluded, limits mandatory consumer rights, or excuses fraud or willful misconduct.

We may update these terms and will update the date above. Material changes will receive additional notice where required. Changes do not retroactively change the payout amounts for already-issued requests. If you disagree with updated terms, stop using the service.

For questions or disputes, contact Proofly through your existing account support channel, where available, or the Proofly representative with whom you communicate. Applicable law and any mandatory local rights govern matters not addressed here. If part of these terms is unenforceable, the remaining provisions remain in effect to the extent permitted by law.
